Vocus Group has officially received the green light from Australia’s Foreign Investment Review Board (FIRB) for its A$5.25 billion acquisition of TPG Telecom’s fibre and Enterprise, Government and Wholesale (EG&W) assets.

Vocus Group is an Australian-New Zealand telecommunications company specialising in fibre and network solutions for businesses and governments.

TPG Telecom is a major Australian telecommunications company that provides a wide range of services to both consumers and businesses. The firm operates both mobile and fixed-line networks, offering internet, mobile, voice, data, and cloud services.

The move marks the final regulatory hurdle for the deal, which was first announced in October 2024.

With the transaction, expected to close before the end of the year, Vocus and TPG will enter a long-term strategic partnership that will see Vocus gain access to TPG’s extensive fixed-line fibre assets, allowing the telco to connect nearly 20,000 buildings across Australia.

After the acquisition, Vocus will operate a network of more than 50,000 km of owned or leased fibre optic cables under long-term right-of-use agreements and nearly 15,000 km of international submarine cables.

“When completed, the deal will position Vocus as a key digital infrastructure operator in Australia, with an extensive integrated network of high-quality subsea, metropolitan, intercapital and regional fibre with significant breadth and scale,” Vocus said in a statement.

The agreement includes the acquisition of TPG’s fibre network infrastructure, EG&W’s fixed customer base, IT assets and international submarine cables.

TPG will retain the mobile radio network infrastructure, the consumer and EG&W mobile business and the consumer and small office/home and office fixed-line business.

Jarrod Nink, Interim chief executive officer at Vocus said at the time of the announcement how digital infrastructure is the basis of the modern economy.

“Investment and competition in our industry is critical for Australia’s future and the combined strengths and resources of Vocus and TPG in the EG&W sector will create immediate and lasting benefits for our customers, employees and shareholders,” he added.
